This Platform Usage Agreement (“Agreement”) governs all access to and use of the digital client dashboard available at portfolio.vrfinserv.com (“Platform”), powered by RedVision Technologies Pvt. Ltd. (“RedVision”), and operated by VR Financial Services (“VRFS”, “we”, “our”, “us”).

By accessing or using the Platform, the User (“Client”, “You”) acknowledges that they have read, understood, and agree to be legally bound by this Agreement.

If you do not agree, you must immediately discontinue access.

1. DEFINITIONS

“Platform” refers to the VRFS login portal hosted on RedVision’s Wealth Elite infrastructure.
“Client Data” refers to all financial, personal, and transactional information submitted by the User into the Platform.
“Services” refers to reporting, transaction facilitation, portfolio visualization, and related digital operations available via RedVision.
“Credentials” refer to login IDs, passwords, OTPs, and any authentication mechanism used to access the Platform.
“Third-Party Systems” include AMCs, insurers, KRAs, RTAs, banks, payment platforms, and regulatory systems integrated through RedVision or VRFS.

2. PLATFORM SCOPE & FUNCTIONALITY

The Platform provides:

• Portfolio reporting and consolidated investment view

• Access to mutual fund transaction execution via SEBI-regulated intermediaries

• Insurance policy illustration, issuance, and servicing tools (where available)

• Data auto-fetch from AMCs, RTAs, and insurer systems

• Transaction history, account statements, and folio-level details

• Automated capital gains, valuation, and compliance reports

The Platform does not provide:

• Investment advice

• Portfolio management

• Personalized asset allocation

• Forward-looking projections

• Guaranteed returns

• Risk profiling or suitability assessment

• Research analysis or buy/sell/hold recommendations

All actions on the Platform are self-directed by the Client.
 

3. TECHNOLOGY OWNERSHIP & RESPONSIBILITY

• The Platform is owned and operated by RedVision Technologies Pvt. Ltd., not VRFS.

• VRFS functions solely as the distributor providing access to the Platform.

• All infrastructure, servers, databases, and APIs are under RedVision’s operational and security control.

• VRFS does not host, store, or operate the Platform’s backend systems.

Use of the Platform implies acceptance of RedVision’s security standards, operational policies, and technology architecture.
 

4. CLIENT RESPONSIBILITIES

Clients must:

1. Maintain strict confidentiality of all login credentials.

2. Not share OTPs, login passwords, or authentication details with anyone—including VRFS, RedVision, employees, or sub-distributors.

3. Verify all details before initiating any transaction.

4. Ensure their KYC, bank mandates, and contact information are updated.

5. Use only personal devices and secure networks for login.

6. Immediately notify VRFS of suspected unauthorized access.

7. Avoid interacting with unofficial or unverified links received via social media or non-official numbers.

The Client bears all responsibility for transactions initiated using their credentials.

5. PLATFORM DATA PROCESSING & SECURITY

The Platform processes:

• PAN

• Folio numbers

• Investment holdings

• Transaction data

• Portfolio valuations

• KYC and demographic information

• Insurance policy details (where applicable)

All data processing follows:

• SEBI cyber-security guidelines

• AMFI best practices

• Insurance regulatory standards

• CERT-In advisories

• DPDP Act principles

• RedVision’s internal security and encryption protocols

VRFS does not store, download, sell, or share platform data except as required for regulatory compliance.

6. ANALYTICS, TELEMETRY & TRACKING

RedVision may use standard analytics tools, including:

• Google Tag Manager

• Google Analytics

• DoubleClick (performance/compatibility scripts)

• YouTube logging APIs

• Internal RedVision telemetry tools

These collect only:

• Device details

• Browser type

• Navigation flow

• Session performance

• Video playback events

These do not collect or transmit:

• Portfolio values

• PAN

• KYC documents

• Transaction amounts

• Financial statements

• Sensitive personal data

Such data remains strictly within the RedVision sandbox environment.
 

7. TRANSACTION PROCESSING

All transaction execution is routed through:

• BSE Star MF / NSE NMFII

• RTA interfaces (CAMS / KFintech)

• Insurer issuance systems

• Mandated payment gateways, NACH, or UPI

• Bank account ecosystem per regulatory norms

VRFS is not responsible for:

• Delays due to AMC/RTA cut-off times

• Bank failures, UPI errors, or payment rejections

• System downtime on BSE/NSE/AMC servers

• Technical failures within RedVision or external APIs

• Incorrect information entered by the Client

Transactions once submitted are irreversible, except as permitted by the product issuer.

8. NO WARRANTIES & NO GUARANTEES

The Platform is provided “as is” and “as available.”
VRFS makes no warranties regarding:

• Accuracy or completeness of portfolio data

• Real-time NAV availability

• Responsiveness or uptime of Platform

• Suitability of displayed products

• Future performance or returns

• Non-interruption or error-free operation

Values displayed may differ from official AMC/RTA statements due to data refresh cycles.

9. LIMITATION OF LIABILITY

To the extent permitted by law, VRFS is not liable for:

• Loss of investment value

• Missed opportunities due to delays

• Platform downtime or errors

• Unauthorized access caused by user negligence

• Incorrect data sourced from AMCs/RTAs/issuers

• Incorrect entries made by the Client

• Cyberattacks on systems not owned by VRFS

Financial losses arising from reliance on Platform data

Maximum liability is limited to any amount paid directly to VRFS (typically zero, as VRFS charges no advisory fees).
 

10. INDEMNIFICATION

Clients shall indemnify and hold VRFS harmless against all claims, damages, losses, liabilities, and expenses arising out of:

• Misuse of the Platform

• Sharing credentials with third parties

• Fraudulent or unauthorized transactions

• Violation of this Agreement

• Misrepresentation or incorrect information submitted

• Breach of law or regulatory norms
   

11. PROHIBITED ACTIVITIES

Clients shall not:

• Attempt to reverse engineer, decompile, or tamper with the Platform

• Use bots, crawlers, or automated scripts

• Conduct unauthorized transactions in someone else’s name

• Interfere with Platform operations

• Use VRFS or RedVision branding for fraudulent purposes

• Upload malicious software or attempt cyber intrusions

• Undertake data scraping or extraction

Any such activity may result in legal action under applicable cybersecurity laws.
 

12. THIRD-PARTY DEPENDENCIES

The Platform relies on:

• RedVision APIs

• AMC/RTA data feeds

• Payment gateway networks

• Regulatory systems

• Telecom/internet service providers

• External verification systems.

VRFS has no control over these systems and bears no responsibility for their performance or failures.

13. TERMINATION OF ACCESS

VRFS may suspend or terminate access to the Platform:

• For security concerns

• For suspicious activity

• For regulatory or legal requirements

• At the Client’s request

• For misuse or breach of Agreement

Termination may be immediate and without notice.

14. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of India.
Jurisdiction lies exclusively with the courts of Bengaluru, Karnataka.

Disputes will first be addressed via:

• Formal written grievance

• Internal resolution

• Mediation

• Legal proceedings (if unresolved)
   

15. CHANGES TO THIS AGREEMENT

VRFS may revise this Agreement at any time.
Updates will be posted on the Platform.
Continued use constitutes acceptance.
